    Terms of Service

    Last updated: September 2026

    1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Relay Acquisition LLC ("Relay Acquisition," "we," "us," or "our") governing your access to and use of relayacquisition.com (the "Site") and any acquisition systems, consulting, or related services we provide (the "Services"). By accessing our Site, submitting an application, booking a strategy call, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

    2. Eligibility

You must be at least 18 years of age and an authorized representative of the company on whose behalf you are acting. By using our Services, you represent and warrant that you have the legal authority to bind that company to these Terms.

    3. Description of Services

Relay Acquisition provides the following Services:

    • Design, build, and management of acquisition systems that attract, qualify, and book homeowner inspections for foundation repair contractors and other service businesses.
    • Paid advertising campaigns across Meta, Google, and YouTube to reach homeowners in your service area who need foundation work.
    • Qualification frameworks and scheduling infrastructure to book confirmed inspections on your calendar.
    • CRM integration, calendar synchronization, and performance reporting.
    • Strategy consultations and ongoing system optimization.

The specific scope, deliverables, pricing, and performance expectations for your engagement will be set forth in a separate Service Agreement or Statement of Work. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

    4. Fees and Payment

    4.1 Pay Per Showed Inspection

Relay Acquisition operates on a performance-oriented model. Our fee is charged per qualified homeowner inspection that shows up, as defined in your Service Agreement. You only pay when a homeowner attends their scheduled inspection. If a scheduled inspection does not occur, you are not charged for it.

    4.2 Credit-Based Billing

You prepay for a block of qualified inspections, and we only debit your account as shows are delivered. If a conversation credit is not used within 30 days, it is refunded or rebated. No retainer and no long-term contracts are required unless expressly stated in your Service Agreement.

    4.3 Advertising Spend

Advertising costs are included in the per-show fee unless otherwise agreed in writing in your Service Agreement. Where advertising is billed separately, Client is responsible for all third-party advertising costs (Meta, Google, YouTube, etc.) paid directly to the advertising platforms. Relay Acquisition does not mark up or profit from advertising spend.

    4.4 Late Payments

Invoices not paid within 7 days of the due date may incur a late fee of 1.5% per month or the maximum permitted by law. Unpaid balances may result in suspension of Services.

    5. Client Responsibilities

To enable effective delivery of Services, Client agrees to:

    • Provide accurate business information, service area details, capacity, and qualification criteria in a timely manner.
    • Grant access to necessary platforms (CRM, calendar, ad accounts, website, phone systems).
    • Respond to onboarding requests and approval requests within 3 business days.
    • Attend booked strategy conversations and handle scheduled homeowner inspections in a professional manner.
    • Comply with all applicable laws, including TCPA, CAN-SPAM, and telemarketing regulations.
    • Not use the Services for unlawful, fraudulent, or misleading purposes.

    6. Intellectual Property

    6.1 Relay Acquisition IP

All software, qualification frameworks, workflows, scripts, templates, methodologies, and documentation developed by Relay Acquisition remain our exclusive intellectual property. Client receives a non-exclusive, non-transferable license to use the system for the duration of the engagement.

    6.2 Client Data

Client retains all rights to data generated through the system, including homeowner records, contact information, and campaign data. Relay Acquisition may use anonymized, aggregated data for benchmarking and service improvement.

    6.3 Marketing Rights

Relay Acquisition may use Client's company name, logo, and results in case studies, testimonials, and marketing materials, unless Client opts out in writing.

    7. Disclaimers

No Guarantee of Results. While Relay Acquisition designs systems to maximize qualified homeowner inspections, we cannot guarantee specific inspection volume, closed jobs, revenue, or conversion outcomes. Results depend on numerous factors including market conditions, advertising spend, your team's execution, homeowner quality, and competitive dynamics. Any economic projections or opportunity estimates provided are illustrative and not guarantees of actual results.

No Professional Advice. Information on our Site and in our communications, including economic opportunity reports, is general business information, not financial, investment, tax, or legal advice. You should consult qualified professionals before making business decisions.

Our total aggregate liability for any claim arising from or related to the Services shall not exceed the total fees paid by Client to Relay Acquisition in the 3 months immediately preceding the event giving rise to the claim.

    9. Indemnification

Client agrees to indemnify, defend, and hold harmless Relay Acquisition LLC and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising from: (a) Client's breach of these Terms; (b) Client's misuse of the Services; (c) Client's violation of applicable laws; or (d) claims related to Client's business practices, representations, or transactions.

    10. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party, including business strategies, pricing, customer data, and system configurations. Confidentiality obligations survive termination of the engagement for a period of 3 years.

    11. Term and Termination

    11.1 Term

These Terms remain in effect for the duration of the Services and any renewal period as specified in your Service Agreement.

    11.2 Termination for Convenience

Either party may terminate the engagement with 30 days written notice. No long-term contracts or early termination fees apply unless expressly stated in your Service Agreement.

    11.3 Termination for Cause

Either party may terminate immediately for material breach that remains uncured 14 days after written notice. Relay Acquisition may terminate immediately if Client fails to pay invoices, violates applicable law, or engages in fraudulent activity.

    11.4 Effect of Termination

Upon termination, Client must pay all outstanding fees for qualified inspections delivered. Relay Acquisition will provide reasonable transition assistance and export Client data in a standard format within 30 days. Access to the system and all licenses granted herein cease upon termination.

    12. Non-Solicitation

During the term of engagement and for 12 months thereafter, Client agrees not to directly solicit, hire, or engage any Relay Acquisition employee or contractor introduced through the Services without our prior written consent.

    13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association in Wilmington, Delaware. The arbitrator's award may be entered in any court of competent jurisdiction.

Each party waives any right to participate in a class action or class arbitration.

    14. Force Majeure

Neither party shall be liable for delays or failures in performance due to causes beyond reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, government action, internet or telecommunications outages, or failures of third-party platforms (Meta, Google, YouTube). The affected party shall give prompt notice and use reasonable efforts to resume performance.
